Service Agreement

Bin Butler provides Bin Wash + Deodorize Service.

This Service Agreement is between Bin Butler and their clients, collectively referred to as the “parties,” both of whom agree to be bound by this agreement.

By scheduling a One-Time Service or Subscription Service with Bin Butler you are agreeing to accept the following terms and conditions.

1. Purpose

The client would like to hire Bin Butler for professional bin wash service as set out in the clients approved quote.

2. Term

This agreement commences upon the client's signature of an approved quote and will remain in full force and effect until terminated as provided in this agreement.

3. Client’s Responsibilities​

On approval of quote:

The client agrees to place their bins out where they are visible and accessible between 7am and 8pm the day their wash is scheduled to be performed. The client also agrees to leave their bins empty until Bin Butler completes their Wash Service.

Bin Butler's Subscription prices are based upon frequency of service. As such, Subscriptions approved by the client continue to be billed monthly should the client cancel visits or fail to carry out their service responsibilities. 

4. Uncompleted Subscription Wash Service - Not at Fault

Uncompleted subscription wash service, not at fault nor caused by Bin Butler, such as waste collection being late or missed by the client’s waste collection provider, bins that are damaged, are not left empty, contain loose animal waste (toter), kitty litter (toter), dead rodents (toter) or are otherwise unprepared for wash service, will be deemed a completion of Bin Butler’s service. 

5. Bin Butler’s Responsibilities​

On approval of quote, Bin Butler agrees to:

Provide all materials and equipment needed to perform and complete the wash service.

Perform all services at the clients or affiliates address.

Wash bins the day of and shortly after the clients waste collection. Bin Butler works between the hours of 7am and 8pm.

Take photos, for reference purposes, of bins that are not empty, not accessible or not found when wash service is scheduled to be performed.

Inform the client via email of any operational disruptions.

Inform the client via email of any administrative updates.

Keep confidential any information or knowledge obtained during the term of this agreement about the client. 

6. Uncompleted Service - Unforeseen Circumstances

If Bin Butler is unable to perform wash service due to unforeseen circumstances such as equipment failure, The client's wash visit will be rescheduled to the next collection date or, if rescheduling is not feasible, the client will not be charged for the uncompleted wash service.

7. Payments

The client will pay Bin Butler for services performed at the rate defined in their approved quote. Invoices are issued monthly on the last day of the month services are performed. If Bin Butler does not receive full payment within 30 days of the issued invoice, Bin Butler reserve the right to suspend the clients services and charge late payment fees on all unpaid amounts at a rate of 3% per month (42.58% per annum)

Taxes, required to be paid by the client and indicated on their monthly invoice, will be the sole responsibility of the client.

  • Cheque / payable to Bin Butler
  • Credit Card / online
  • E-Transfer / pay@binbutlervalet.ca

8. Rescheduling Fee

If the client would like to reschedule a wash visit. Bin Butler will make all efforts to reschedule the service at their sole discretion. If Bin Butler is successful in rescheduling the service a Rescheduling Fee equal to 10% of the clients regular rate will be applied.

9. Changes to Service

The client reserves the right to request changes to their wash service, such as wash frequency and number of bins, at any time. To avoid service interruption, wash service changes take effect the following month after requests are made.

10. Scheduling

Bin Butler reserves the right to make scheduling revisions to improve their operations. Such improvements will not affect the services that Bin Butler provides to the client under the terms and conditions of this agreement.

11. Inclement Weather

Bin Butler reserves the right, at their sole discretion, to suspend affected services during snowfall, sub freezing temperatures and other inclement weather conditions. The client understands that for the safety of all people, affected services will be cancelled at no cost to the client and will resume when weather permits. 

12. Prices

Bin Butler reserves the right to change their prices or implement new charges for use of their services at any time. Bin Butler will provide the client, via email, with at least 30 days notice before any price change. It is the client’s sole responsibility to review the price change email and their service invoices provided by Bin Butler. The client agrees that their continued use of Bin Butler's services following any price change or implemented charges constitutes their acceptance of the new service rates.

13. Termination

Either Party may terminate this agreement at any time via email at least 30 days before the clients next scheduled service. Any outstanding charges must be paid in full upon termination. Bin Butler reserves the right to charge the client the balance of a One-Time Wash Service if the client signs up for a Wash Subscription and terminates their Subscription before their second invoice is issued and paid in full. Any promotions, offers and discounts do not apply.

14. Social Media and Reviews

When the client uses Bin Butler's Social Media or any other media platform, they agree to comply with the terms of use of that media platform.

When the client makes a post, comment or review about Bin Butler, they give Bin Butler permission to repost and use that content.

Bin Butler is not responsible for the content of any third party posts or comments on any of its Social Media. Bin Butler monitors their Social Media and they reserve the right to remove or report any posts or comments they deem to be inappropriate, offensive, a promotion of violence, discrimination or illegal activity.

In serious cases Bin Butler also reserves the right to block offensive users from their Social Media.

15. Referral Program

The client may send as many friend referrals as they like. The client will receive the current referral promotion credited to their upcoming service for each and every successful referral, up to 100% of their service amount. Any additional successful referrals will be credited to the clients next service. Referrals must be new Bin Butler customers. Referral promotions can not be combined with any other promotion.

If applicable, the referee will receive the current referral promotion credited to their first service.

16. Limitation of Liability

Except to the extent of any insurance policy held by Bin Butler, the client will not seek damages, claims, losses, liabilities, penalties, expenses, or costs of any kind or amount whatsoever from Bin Butler, its officers, agents, employees or heirs for any property damage, personal injury, death, economic, third party or public liability claims caused or contributed by any action, accident, loss or occurrence, whether direct, indirect or consequential arising from the execution of, or in any way related to, the content of this agreement. This section shall survive any termination of this agreement.

17. Promotional Agreements

Upon the execution of any Promotional Agreement, this agreement shall be modified accordingly and the Promotional Agreement shall form a part of this agreement for all purposes. 

18. Updates to Agreement

Bin Butler may, at any time, modify or otherwise update the terms of this agreement, including their Privacy Policy, with or without notice to the client. The client agrees that their continued use of Bin Butler's services following such an update constitutes their acceptance of the updated terms.

19. Legal and Binding

This agreement is legal and binding between the parties, each of whom represents they have the authority to enter into this agreement.

20. Governing Law and Jurisdiction

This agreement will be governed exclusively in accordance with the laws of the province of British Columbia, and the laws of Canada in effect in the Province of British Columbia.

The parties attorn to the exclusive jurisdiction of the courts of the province of British Columbia and all courts competent to hear appeals therefrom.
